These Terms & Conditions (“Terms”) govern your access to and use of ShapeShip, operated by Foundri Studio LLC (“we,” “us,” or “our”). By accessing or using our website and services, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

2. Services

ShapeShip provides on-demand 3D printing and laser cutting services. You may upload design files, receive quotes, and place orders for custom manufactured parts through our platform. We reserve the right to refuse any order at our discretion.

3. Account and Eligibility

You must be at least 18 years of age or the age of legal majority in your jurisdiction to use the Service. By using the Service, you represent and warrant that you meet this requirement. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

4. Orders and Quotes

• Quotes provided through the Service are estimates and may be subject to change based on final review of design files, material availability, and manufacturing requirements.
• An order is not confirmed until we have accepted it and provided an order confirmation. We reserve the right to cancel or modify any order due to pricing errors, material shortages, or design issues.
• Lead times are estimates and not guaranteed. We will make reasonable efforts to meet stated delivery timelines.

5. Pricing and Payment

• All prices are quoted in U.S. dollars unless otherwise stated.
• Payment is due at the time of order confirmation. We accept major credit cards and other payment methods as displayed on the Service.
• Shipping costs, taxes, and any applicable fees will be calculated and displayed before order confirmation.

6. Design Files and Intellectual Property

• You retain all ownership rights to the design files you upload. By uploading files, you grant us a limited, non-exclusive license to use, reproduce, and process those files solely for the purpose of providing our services to you.
• You represent and warrant that you own or have the necessary rights to the design files you submit, and that the manufacturing of your designs does not infringe upon any third-party intellectual property rights.
• We will not share, sell, or distribute your design files to third parties except as necessary to fulfill your orders.

7. Prohibited Uses

You agree not to use the Service to:

• Manufacture items that are illegal, dangerous, or intended to cause harm
• Produce items that infringe on intellectual property rights of others
• Manufacture regulated items such as weapons, weapon components, or controlled substances paraphernalia
• Upload malicious files or attempt to compromise the Service
• Misrepresent your identity or affiliation

We reserve the right to refuse any order that we believe violates these Terms or applicable law.

8. Shipping and Delivery

• We ship to addresses within the United States. International shipping may be available on a case-by-case basis.
• Risk of loss and title for items pass to you upon delivery to the carrier.
• We are not responsible for delays caused by carriers, customs, weather, or other events beyond our control.

9. Returns, Refunds, and Quality

• Because all items are custom manufactured, we do not accept returns for change of mind. If your order arrives damaged or does not match the agreed-upon specifications, please contact us within 7 days of delivery.
• We will evaluate claims on a case-by-case basis and may offer a reprint, recut, or refund at our discretion.
• Minor variations in color, texture, and dimensions are inherent to 3D printing and laser cutting processes and are not considered defects.

10. Limitation of Liability

To the fullest extent permitted by law, Foundri Studio LLC and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of the Service. Our total liability for any claim arising from the Service shall not exceed the amount you paid for the specific order giving rise to the claim.

11. Disclaimer of Warranties

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure.

12. Indemnification

You agree to indemnify, defend, and hold harmless Foundri Studio LLC and its affiliates from any claims, damages, losses, or expenses (including reasonable attorney’s fees) arising from your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Delaware.

14. Changes to These Terms

We reserve the right to update or modify these Terms at any time. We will notify you of material changes by posting the updated Terms on this page with a revised “Last updated” date. Your continued use of the Service after any modifications constitutes acceptance of the revised Terms.
